1. Introduction and definitions:

These general terms and conditions (“Terms”) govern the contractual relationship between Appdex and any client (“you”). By requesting a quote, approving a project, or subscribing to a plan, you fully accept these Terms.

If you do not agree to these conditions, you must not use our services.

2. Use of the service:

You agree to use our services in a lawful, ethical manner and in compliance with applicable laws.

This includes in particular:

• Providing accurate and complete information when requesting a project.
• Not using our services for illegal, fraudulent, or harmful purposes.
• Respecting the scope defined in the quote or selected subscription.

Any abusive use may result in suspension of the service.

3. Subscriptions and pricing:

Our services are offered either as one-time projects (website or Web App creation) or as maintenance subscriptions after launch.

a) Project creation The initial design of a website or Web App is always subject to a separate quote. Subscriptions do not cover the initial project creation.

b) Maintenance subscriptions We offer several subscription levels tailored to standard websites (Essential, Business, Growth) as well as database-driven Web Apps (Business Web App, Growth Web App).

Each plan specifies the included services: hosting, security, backups, support, content updates, SEO, database management, monitoring, and strategic support depending on the selected level.

c) Billing terms Subscriptions may be billed:

• Monthly (valid for a 30-day cycle).
• Annually with a promotional discount.

Subscriptions renew automatically unless canceled before the renewal date.

d) Services outside subscription Any major feature, specific integration, multilingual addition, external API, payment system, automation, or custom development outside the defined scope may be subject to an additional quote.

4. Intellectual property:

Unless otherwise agreed in writing:

• You become the owner of the final delivered product (website or application) once full payment has been made.
• We retain ownership of generic technical components, internal libraries, and reusable structures.
• Any resale or independent redistribution of our work without written authorization is prohibited.

Modifications for internal professional use are permitted.

5. Warranty and limitation of liability:

Our services are provided with professional diligence.

However:

• We do not guarantee specific commercial results (sales, traffic, rankings).
• We are not responsible for malfunctions related to third-party services.
• Our total liability is limited to the amount paid during the last 12 months for the service concerned.

6. Force majeure:

Appdex cannot be held liable for delays or failures resulting from events beyond its control (natural disaster, major outage, war, government decision, global network interruption).

7. Dispute resolution:

We always prioritize an amicable and professional resolution.

In the event of a persistent dispute, Swiss law shall apply and Swiss courts shall have jurisdiction.

8. Termination and refund conditions:

a) Monthly subscriptions Monthly subscriptions are valid for a period of 30 days from the date of payment.

In case of non-renewal or non-payment:

• Included services may be suspended.
• Hosting may be interrupted until the situation is resolved.

No refund is granted for a month already started.

b) Annual subscriptions (one-time payment) Annual subscriptions benefiting from a discount are valid for 12 months.

A period of 30 days from the payment date is granted to request a full refund.

• If the request is made within this period, a full refund may be issued.
• After this 30-day period, no full or partial refund will be granted.

c) Effect of termination In case of termination:

• You retain ownership of your website and domain.
• Included services end at the conclusion of the paid period.

Appdex also reserves the right to suspend or terminate a service in case of violation of these terms.

9. Changes to the terms:

These terms constitute the entire agreement between Appdex and the client.

We may update them at any time. In case of significant changes, notification may be provided via the website or by email.

10. Appdex AI (Automated estimator)

The “Appdex AI” feature provides an indicative estimate based on the information provided.

• It does not constitute a contractual offer or a final quote.
• The final price is confirmed after human analysis of the project.
• Comparative references are for informational purposes only and do not imply any affiliation.
• External data may change and is not guaranteed.

No personal data is stored without explicit consent.
